Terms of Service
Important: By accessing or using Confidion Sentry, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our Service. These terms and conditions create a binding agreement between you and Confidion Consulting & Technologies Inc.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions.

1. Definitions
In these Terms of Service, the following definitions apply:
- "Company," "we," "us," or "our" refers to Confidion Consulting & Technologies Inc.
- "Service" or "Platform" refers to the Confidion Sentry web intelligence platform, including all features, tools, APIs, documentation, and content
- "User," "you," or "your" refers to any individual or entity accessing or using our Service
- "Account" refers to your registered account on the Platform
- "Content" refers to all text, data, information, software, graphics, and other materials available through or generated by the Service
- "User Content" refers to any content, data, or information you submit, upload, or create through the Service, including saved searches, entity profiles, dossiers, and data feed configurations
- "OSINT Data" refers to open source intelligence data collected from publicly available sources through the Service
- "Subscription" refers to your paid access plan to use certain features of the Service
- "Personal Information" has the meaning given under applicable data protection laws in your jurisdiction
- "Applicable Law" refers to all laws, regulations, and legally binding requirements applicable to the User based on the jurisdiction from which they access the Service
2. Acceptance of Terms
2.1 Agreement to Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you register for a free or paid trial for the Service, these Terms will also govern that trial.
2.2 Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under Applicable Law
- Not be located in, or a resident of, a country subject to comprehensive sanctions
- If acting on behalf of an organization, have authority to bind that organization to these Terms
2.3 Additional Terms
Certain features may be subject to additional terms and conditions, which will be presented to you at the time of access. Such additional terms are incorporated into these Terms by reference. In the event of a conflict, the additional terms will prevail for the specific feature to which they apply.
3. Service Description
3.1 Platform Overview
Confidion Sentry is a software-as-a-service (SaaS) web intelligence and open source intelligence (OSINT) platform that provides tools for:
- Open source intelligence research and analysis from publicly available data sources
- Data aggregation from public web search engines, social media, news, and other open sources
- Entity profiling and relationship mapping
- Custom data feed monitoring, alerts, and notifications
- Threat intelligence and risk assessment
- AI-assisted analysis and correlation of intelligence data
- Team collaboration and intelligence sharing
- Search history and saved results management
3.2 Service Availability
We strive to maintain high uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance or security updates
- Third-party API or data source outages beyond our control
- Circumstances beyond our reasonable control (force majeure)
3.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service. Where changes materially reduce the functionality of a paid feature, you may cancel your subscription in accordance with Section 5.
4. Account Terms
4.1 Account Creation
To access most features, you must create an account by providing:
- A valid email address
- A secure password meeting our security requirements (minimum 12 characters, including uppercase, lowercase, numbers, and special characters)
- Accurate and complete registration information
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breach
- Enabling multi-factor authentication (MFA), which is strongly recommended
We employ security measures including rate limiting, session management, and suspicious activity detection to help protect your account.
4.3 Account Information
You agree to:
- Provide accurate, current, and complete information
- Update your information promptly to maintain accuracy
- Not create accounts for others without their authorization
- Not use another person's account without permission
4.4 One Account Per User
You may only maintain one active account. Creating multiple accounts to circumvent restrictions, abuse features, or evade enforcement actions is prohibited and may result in termination of all associated accounts.
5. Subscriptions & Payment
5.1 Subscription Plans
We offer various subscription plans with different features and usage limits. Details of available plans are displayed on our Pricing page.
5.2 Payment Terms
- All fees are quoted and payable in the currency specified at checkout
- Payment is processed securely through Stripe (PCI-DSS Level 1 compliant)
- Subscriptions are billed in advance on a recurring basis (monthly or annually)
- You authorize us to charge your payment method for all applicable fees
- Prices are exclusive of applicable taxes, which will be added at checkout as required by law
5.3 Free Trial
If we offer a free trial:
- Trial duration and features will be specified at signup
- You may be required to provide payment information
- Your subscription will automatically convert to a paid plan unless cancelled before trial end
- We will send a reminder before the trial ends
5.4 Cancellation
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You retain access to paid features until the end of your billing period
- We do not provide prorated refunds for partial periods unless required by Applicable Law
5.5 Refunds
Refund requests are handled on a case-by-case basis. We may provide refunds:
- For technical issues that prevent use of the Service for an extended period
- Where required by applicable consumer protection laws (including EU, UK, and Australian consumer law)
- At our sole discretion for other circumstances
EU/UK/Australian Consumers: You may have statutory cooling-off rights for online purchases. Nothing in these Terms affects your statutory consumer rights.
5.6 Price Changes
We may change subscription prices with at least 30 days' notice. Price changes will apply to your next billing cycle after the notice period. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
6. Acceptable Use Policy
6.1 Permitted Use
The Service is intended for lawful intelligence gathering, research, and business purposes. Permitted uses include:
- Open source intelligence research for legitimate business purposes
- Due diligence and background research
- Competitive intelligence analysis
- Risk assessment and security research
- Corporate security and threat monitoring
- Journalistic investigation and research
- Academic and educational research
- Legal investigation and litigation support
- Compliance and regulatory research
6.2 Prohibited Activities
You agree NOT to use the Service to:
- Violate any Applicable Laws, regulations, or third-party rights
- Engage in harassment, stalking, intimidation, or surveillance of individuals for unlawful purposes
- Conduct activities that violate privacy rights or data protection laws in any jurisdiction
- Make employment, credit, housing, insurance, or similar decisions about individuals based on information obtained through the Service, unless you have a lawful basis and comply with all applicable laws (including anti-discrimination laws)
- Engage in industrial espionage or theft of trade secrets
- Circumvent security measures or access systems without authorization
- Access non-public, gated, or restricted content through the Service
- Distribute malware, viruses, or malicious code
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to other users' accounts or data
- Scrape, harvest, or collect data in bulk beyond permitted usage limits
- Resell, sublicense, or redistribute the Service or its outputs without authorization
- Use automated tools to access the Service beyond normal usage patterns or permitted API limits
- Impersonate others or misrepresent your identity or affiliation
- Access or use the Service for purposes of monitoring availability, performance, or functionality for competitive benchmarking purposes
- Use the Service to compile information about individuals for the purpose of facilitating discrimination on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or any other protected characteristic
6.3 Compliance with Laws
You are solely responsible for ensuring your use of the Service complies with all Applicable Laws in your jurisdiction, including but not limited to:
- Data protection and privacy laws (GDPR, UK GDPR, PIPEDA, CCPA, LGPD, Australian Privacy Act, and any other applicable data protection legislation)
- Anti-discrimination and equal opportunity laws
- Computer fraud and abuse laws
- Export control and sanctions regulations
- Professional licensing requirements
- Employment and fair credit reporting laws
- Consumer protection laws
The availability of information through the Service does not mean that accessing or using that information is lawful in your jurisdiction. You must independently assess the legality of your intended use.
6.4 Enforcement
We reserve the right to investigate and take appropriate action for violations, including:
- Warning or temporary suspension of account access
- Permanent termination of your account
- Removal of User Content that violates these Terms
- Reporting to law enforcement authorities where appropriate
- Pursuing legal remedies
7. OSINT Data & Publicly Available Information
7.1 Nature of OSINT Data
The Service collects, aggregates, and analyses data from publicly available sources on the internet. "Publicly available" means information accessible to the general public without requiring authentication, payment, or bypassing access controls. We do not access private systems, breach security measures, or collect data from non-public sources.
7.2 No Guarantee of Accuracy
OSINT data is derived from third-party sources over which we have no control. We do not guarantee and make no representation or warranty regarding:
- The accuracy, completeness, reliability, or timeliness of any OSINT data
- Whether OSINT data is current or up-to-date
- Whether information pertains to the individual or entity you are researching (as opposed to a different individual with a similar name)
- Whether the original sources from which the data was collected are accurate
You must independently verify all information before relying on it for any decision.
7.3 User Responsibilities for OSINT Data
You acknowledge and agree that:
- You are solely responsible for how you use OSINT data obtained through the Service
- You will comply with all applicable data protection and privacy laws when processing OSINT data that contains personal information of third parties
- You will conduct your own legal assessment of whether your intended use of OSINT data is lawful in your jurisdiction
- You will implement appropriate data protection measures for any personal data you collect or process through the Service
- You will respect data subject rights and respond to access, correction, or deletion requests from individuals whose data appears in your OSINT results
- If you are in the EU/UK, you will conduct legitimate interest assessments where you process personal data from OSINT sources under the legitimate interests legal basis
- You will delete or anonymize OSINT data when it is no longer necessary for the purpose for which it was collected
7.4 OSINT Data Is Not a Consumer Report
The Service is not a "consumer reporting agency" as defined by the U.S. Fair Credit Reporting Act (FCRA) or equivalent laws in other jurisdictions. Information obtained through the Service must not be used as a factor in determining an individual's eligibility for credit, employment, insurance, housing, or any other purpose governed by the FCRA or similar legislation.
7.5 Third-Party Data Source Terms
OSINT data is collected through public APIs and publicly accessible sources. Your use of OSINT data obtained through the Service is also subject to the terms of service of the underlying data sources. We may restrict or modify data collection methods to comply with third-party terms of service.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including its original content, features, functionality, design, algorithms, and underlying technology, is and remains the sole property of Confidion Consulting & Technologies Inc. and is protected by:
- Copyright laws (Canada, UK, EU, US, and international)
- Trademark laws
- Trade secret protections
- Other intellectual property rights
8.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your permitted purposes during the term of your subscription.
8.3 Restrictions
You may not:
- Copy, modify, or create derivative works of the Service or its software
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or alter any proprietary notices or labels
- Use our trademarks, logos, or branding without written permission
- Frame or mirror any portion of the Service
- Access the Service to build a competitive product or service
8.4 Feedback
Any suggestions, feedback, or ideas you provide regarding the Service become our property. We may use such feedback without restriction or compensation to you. This does not affect your ownership of your User Content.
9. User Content & Data
9.1 Your Content
You retain ownership of any User Content you create or upload. By using the Service, you grant us a limited, non-exclusive license to process, store, and display your User Content solely to provide, maintain, and improve the Service.
9.2 Data Export
You may export your data (saved searches, entity profiles, dossiers, etc.) at any time through available export features. Upon account termination, you will have a reasonable period to export your data before it is deleted according to our retention policy.
9.3 Responsibility for Content
You are solely responsible for:
- The accuracy and legality of your User Content
- Ensuring you have the rights to any content you upload or create
- Compliance with Applicable Laws regarding data you access, collect, or process through the Service
- Proper handling and protection of any personal data contained in your OSINT research results
10. Data Processing & Privacy
10.1 Privacy Policy
Our processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.
10.2 Data Controller and Processor Roles
For the purposes of applicable data protection laws:
- Account Data: We act as a data controller for your account registration data, payment information, and usage data
- OSINT Data: When you use the Service to search for and aggregate OSINT data, you are the data controller for any personal data within the OSINT results, and we act as a data processor processing that data on your behalf and in accordance with your instructions (i.e., your search queries and configurations)
10.3 Your Obligations as Data Controller
Where you act as a data controller for personal data obtained through the Service, you are responsible for:
- Determining the lawful basis for processing under applicable data protection law
- Providing required notices to data subjects
- Responding to data subject requests (access, deletion, correction, etc.)
- Conducting data protection impact assessments where required
- Maintaining records of processing activities as required by law
10.4 Data Processing Agreement
To the extent required by GDPR, UK GDPR, or other applicable data protection laws, these Terms serve as a data processing agreement between you (controller) and us (processor) for the OSINT data we process on your behalf. We will:
- Process personal data only on your documented instructions (i.e., your use of the Service)
- Ensure that personnel processing personal data are bound by confidentiality obligations
- Implement appropriate technical and organizational measures to ensure data security
- Assist you in responding to data subject requests
- Delete or return personal data upon termination, subject to legal retention requirements
- Make available information necessary to demonstrate compliance with data processing obligations
- Not engage sub-processors without providing you notice (our current sub-processors are listed in our Privacy Policy)
11. Third-Party Services
11.1 External Data Sources
The Service aggregates information from various third-party sources. We do not control and are not responsible for the accuracy, completeness, availability, or legality of third-party data. Third-party data sources may change their terms, availability, or content at any time.
11.2 Third-Party Links
The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of these external sites.
11.3 Payment Processing
Payment processing is handled by Stripe, Inc. Your use of payment services is subject to Stripe's terms of service and privacy policy.
11.4 AI Services
The Service uses artificial intelligence services for analysis features. AI outputs are provided for informational purposes and are not guaranteed to be accurate. See our Privacy Policy for details on AI data handling.
12. Disclaimers
Important Notice: Please read these disclaimers carefully as they affect your rights. Some jurisdictions do not allow certain limitations on warranties, so some of these disclaimers may not apply to you.
12.1 "As Is" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF INFORMATION
- RELIABILITY OR AVAILABILITY
12.2 No Guarantee of Results
We do not guarantee:
- The accuracy, reliability, or completeness of any information obtained through the Service
- That the Service will meet your specific requirements
- That the Service will be uninterrupted, timely, secure, or error-free
- That results obtained will be accurate, reliable, or relate to the intended subject
- That all publicly available information will be captured or indexed
12.3 Information Disclaimer
Information provided through the Service is for informational and research purposes only and should not be construed as:
- Legal advice or legal opinion
- Financial, investment, or tax advice
- Professional recommendation
- Verified or established fact
- A consumer report under the FCRA or equivalent legislation
You should independently verify any information before making decisions based on it, and should consult qualified professionals for legal, financial, or other professional matters.
12.4 Consumer Rights
If you are a consumer in the EU, UK, Australia, Brazil, or Canada, you may have statutory rights that cannot be excluded or limited. Nothing in these Terms is intended to exclude or limit any statutory rights that cannot be lawfully excluded or limited under Applicable Law.
13. Limitation of Liability
13.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONFIDION, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Damages arising from reliance on information obtained through the Service
- Damages resulting from unauthorized access to your account
- Damages caused by third-party content, data sources, or services
- Damages arising from your use of OSINT data in violation of Applicable Laws
- Damages resulting from actions taken by you based on OSINT data
13.2 Maximum Liability
Our total aggregate liability for any and all claims arising from or related to these Terms or the Service shall not exceed the greater of:
- The total amount you paid us in the 12 months preceding the event giving rise to the claim; or
- One hundred Canadian dollars (CAD $100)
13.3 Exceptions to Liability Caps
The limitation of liability in Section 13.2 does not apply to:
- Liability arising from our gross negligence or willful misconduct
- Liability arising from a breach of our data security or confidentiality obligations that results in a data breach
- Your indemnification obligations under Section 14
- Liability that cannot be limited under Applicable Law
13.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In particular:
- EU/UK Consumers: Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under EU or UK consumer law
- Australian Consumers: Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms purports to modify or exclude the conditions, warranties, and undertakings implied by the Australian Consumer Law
- Canadian Consumers: You may have statutory rights that cannot be waived. Nothing in these Terms affects such rights under applicable provincial or federal consumer protection legislation
- Brazilian Consumers: In accordance with the Brazilian Consumer Protection Code (Law No. 8,078/1990), consumer rights cannot be waived
14. Indemnification
14.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Confidion and its officers, directors, employees, agents, and affiliates from and against any third-party claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of Applicable Laws, including data protection and privacy laws
- Your use of OSINT data in a manner that infringes the rights of third parties
- Your User Content
- Your failure to comply with data protection obligations where you act as a data controller for OSINT data
- Claims by data subjects arising from your processing of their personal data obtained through the Service
14.2 Indemnification Process
We will promptly notify you of any claim subject to indemnification and provide reasonable cooperation in the defence. You shall not settle any claim without our prior written consent if the settlement would impose obligations on us or admit liability on our behalf.
14.3 Survival
This indemnification obligation survives termination of your account and these Terms.
14.4 Consumer Exceptions
Indemnification obligations may not be enforceable against consumers in certain jurisdictions. To the extent prohibited by Applicable Law, this Section 14 shall not apply to consumers.
15. Termination
15.1 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription through account settings
- Contacting support at support@confidion.com to request account deletion
15.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You breach any material provision of these Terms
- You engage in fraudulent, illegal, or harmful activity
- We are required to do so by law or legal process
- We reasonably believe your account has been compromised
- Your account has been inactive for 12 or more consecutive months
- We discontinue the Service (with reasonable notice)
Where feasible and not legally prohibited, we will provide notice and an opportunity to cure before termination for non-material breaches.
15.3 Effects of Termination
Upon termination:
- Your right to access the Service immediately ceases
- You remain liable for any fees owed prior to termination
- You will have 30 days to export your User Content before it is deleted
- We will delete your account data according to our retention policy (see Privacy Policy, Section 9)
- Provisions that by their nature should survive termination shall continue in effect (including Sections 7, 8, 12–14, 16, and 19)
16. Governing Law & Disputes
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles, except to the extent that mandatory local consumer protection laws in your jurisdiction provide otherwise.
16.2 Dispute Resolution
Any dispute arising from these Terms or the Service shall be resolved as follows, based on your jurisdiction of residence:
For Users in Canada:
Disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
For Users in the European Union:
If you are a consumer residing in the EU, you may bring proceedings in the courts of your country of residence. You may also be entitled to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Mandatory consumer protection laws of your member state will apply regardless of the governing law chosen.
For Users in the United Kingdom:
If you are a consumer residing in the UK, you have the right to bring proceedings in the courts of England and Wales, or if you live in Scotland, in the Scottish courts, or if you live in Northern Ireland, in the Northern Irish courts. UK consumer protection legislation applies regardless of the governing law chosen.
For Users in the United States:
Disputes shall be subject to the jurisdiction of the courts of Ontario, Canada, unless mandatory state consumer protection law requires otherwise. California residents retain all rights under California consumer protection laws.
For Users in Brazil:
Brazilian consumers may bring proceedings in the courts of their domicile in accordance with the Brazilian Consumer Protection Code (Law No. 8,078/1990). Mandatory provisions of the LGPD and the Consumer Protection Code apply regardless of any choice of law provision.
For Users in Australia:
Australian consumers may bring proceedings in any court of competent jurisdiction in Australia. Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term implied or imposed by Australian Consumer Law that cannot lawfully be excluded or limited.
For Users in Other Jurisdictions:
Disputes shall be subject to the jurisdiction of the courts of Ontario, Canada, unless mandatory local consumer protection law in your jurisdiction provides otherwise.
16.3 Informal Resolution
Before initiating formal proceedings, you agree to first contact us at legal@confidion.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes within 30 days of receiving your notice.
16.4 Class Action Waiver
To the extent permitted by Applicable Law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. This waiver does not apply where prohibited by law (including in the EU, UK, and Australia where collective action rights cannot be waived).
17. Export Controls & Sanctions
You represent and warrant that:
- You are not located in, or a citizen or resident of, a country subject to comprehensive sanctions by Canada, the EU, the UK, or the United States
- You are not named on any government restricted party list
- You will not use the Service in violation of any applicable export control or sanctions laws
- You will not provide access to the Service to any person or entity on a sanctions list
18. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last Updated" date
- We will notify you by email for significant changes
- We will provide at least 30 days' notice before changes take effect
- We will display a prominent notice on the Service
Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account. For EU/UK consumers, material changes require active acceptance.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Confidion regarding the Service.
19.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19.3 Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.
19.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.
19.5 Force Majeure
